Council Market Desk

Terms of Access

Effective Date: June 24th, 2026

These Terms of Access ("Terms") govern your access to and use of the Council Market Desk (the "Market Desk"), a private pricing resource provided by Council, operated by Atley LLC ("Council," "we," "us," or "our"). They are in addition to, and incorporate by reference, Council's general website Terms and Conditions and Privacy Policy. If these Terms conflict with the general website terms with respect to the Market Desk specifically, these Terms control.

By signing in to, creating an account for, or otherwise accessing the Market Desk, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Market Desk.

1. Private, Invitation-Only Access

Access to the Market Desk is private and granted by invitation only, at Council's sole discretion. Your access is:

  • Personal to you and tied to the account and email address Council has approved. You may not access the Market Desk using credentials that were not issued to or approved for you.

  • Non-transferable. You may not share, lend, assign, or transfer your access, account, or credentials to any other person or entity, including colleagues, clients, family members, or anyone within your firm who has not been separately approved by Council.

  • Revocable at any time, with or without notice and with or without cause. Council may suspend or terminate your access at its sole discretion, including for any breach of these Terms.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Council promptly if you believe your account has been accessed or used without authorization.

2. Confidential and Proprietary Information

The Market Desk and all data, figures, pricing, analysis, charts, methodologies, and other content made available through it (collectively, the "Desk Content") are the confidential and proprietary information of Council. The Desk Content is not publicly available and is provided to you solely for your own internal, personal reference.

You agree that you will not, directly or indirectly:

  • Share, disclose, publish, forward, display, or otherwise make the Desk Content available to any third party who has not been independently granted access by Council;

  • Copy, reproduce, screenshot, export, scrape, harvest, or systematically extract the Desk Content, whether manually or by automated means;

  • Resell, license, redistribute, or otherwise commercialize the Desk Content;

  • Use the Desk Content to create, train, populate, or improve any database, index, product, or service that competes with the Market Desk or with Council; or

  • Remove, obscure, or alter any proprietary notices contained in the Desk Content.

Unauthorized sharing or misuse of the Desk Content is a material breach of these Terms and will result in immediate termination of your access, in addition to any other remedies available to Council. You acknowledge that unauthorized disclosure of the Desk Content may cause Council irreparable harm for which monetary damages would be inadequate, and that Council may seek injunctive or other equitable relief in addition to any other remedy.

3. No Offer; Informational Only

The Desk Content is provided for general informational purposes only. Nothing in the Market Desk constitutes, or should be construed as:

  • An offer, solicitation, bid, ask, quote, or commitment by Council or any dealer to buy, sell, or transact in any watch or other item at any price;

  • A guarantee that any watch can be bought or sold at any figure shown; or

  • A representation that any price shown is available to you or to any particular person.

Bid, ask, spread, average listing, and all other figures are indicative estimates derived from market data and are presented to help you understand general market conditions. Actual transaction prices are determined solely by the parties to an actual transaction and may differ materially from any figure shown.

4. Not Financial, Investment, or Professional Advice

The Desk Content is not financial, investment, tax, legal, appraisal, or other professional advice, and is not a recommendation to buy, sell, hold, or value any watch or other asset. Council is not acting as your broker, dealer, agent, advisor, appraiser, or fiduciary by providing the Market Desk, and your use of the Market Desk does not create any advisory, brokerage, fiduciary, or agency relationship between you and Council.

You are solely responsible for your own decisions. You should conduct your own due diligence and, where appropriate, consult your own qualified professional advisors before making any purchase, sale, valuation, or other decision. Any reliance you place on the Desk Content is at your own risk.

5. No Warranty; Accuracy of Data

The Market Desk and the Desk Content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Council disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, and non-infringement.

Watch market data changes frequently. While Council strives to present useful and reasonably current information, Council does not warrant that the Desk Content is accurate, complete, current, or error-free, and Council is under no obligation to update it. Figures may be outdated, estimated, or incorrect.

6. Limitation of Liability

To the fullest extent permitted by law, Council and its affiliates, and their respective officers, directors, employees, members, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or opportunity, arising out of or relating to your access to or use of (or inability to use) the Market Desk or the Desk Content, whether based in contract, tort, negligence, strict liability, or any other theory, even if Council has been advised of the possibility of such damages.

7. Eligibility

By accessing the Market Desk, you represent and warrant that you are at least 18 years old and that you have the authority to agree to these Terms (including, if you are accessing on behalf of an entity, the authority to bind that entity).

8. Changes to These Terms

Council may modify these Terms at any time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms at this location with a revised "Last updated" date or by notifying you through the Market Desk or by email. Your continued access to or use of the Market Desk after changes become effective constitutes your acceptance of the revised Terms.

9. Termination

Council may suspend or terminate your access to the Market Desk at any time, for any reason or no reason, with or without notice. Upon termination, you must cease all use of the Desk Content. Sections 2 (Confidential and Proprietary Information), 3 (No Offer), 4 (Not Advice), 5 (No Warranty), 6 (Limitation of Liability), and 10 (General) survive any termination.

10. General

Entire agreement. These Terms, together with Council's general website terms and Privacy Policy, constitute the entire agreement between you and Council regarding the Market Desk and supersede any prior understandings regarding the same.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

No waiver. Council's failure to enforce any provision is not a waiver of its right to do so later.
