Welcome to www.councilwatches.com (the “Site”). These Terms of Service (“Terms”) govern your use of the Site and services provided by Council operated by Atley LLC (“Council,” “we,” “us,” or “our”).

By accessing or using the Site or our services, including requesting an offer or engaging in a transaction, you agree to these Terms and our Privacy Policy.

2. Nature of Services

Council provides a service that facilitates introductions and coordination between individuals seeking to sell watches and independent third-party buyers or dealers.

Council operates a curated process designed to help sellers obtain competitive offers and complete transactions efficiently.

Council is not a buyer, seller, dealer, broker, auction house, or financial institution.

Council:

  • does not purchase or sell goods

  • does not take title to or possession of any items

  • does not act as an agent or fiduciary for any party

  • does not process, hold, or transmit funds

All transactions occur solely between the buyer and seller.

3. Role in Transactions

Council facilitates communication, coordinates offers, and actively manages the transaction process from initial outreach through completion.

Council works with a curated network of independent buyers and is selective in the offers presented. Before presenting an offer, Council may engage directly with buyers to confirm interest, align on key terms, and assess readiness to proceed, with the goal of presenting offers that reflect serious intent to transact.

Throughout the transaction process, Council remains involved in coordinating communication, guiding next steps, and following up with buyers to support timely payment and completion.

Offers are intended to be honored by buyers, subject to inspection and final confirmation.

While Council takes an active role in facilitating and supporting transactions, Council does not control and does not guarantee the performance of any buyer or seller.

Council is not a party to any transaction.

4. Information Provided

You are solely responsible for the accuracy and completeness of all information you provide.

By submitting information, you represent and warrant that:

  • you are the lawful owner of the watch

  • the watch is authentic and not counterfeit

  • the watch is not stolen or subject to any claims

  • all descriptions, including condition, reference, and included accessories, are accurate

5. Offers

Requesting an offer does not guarantee that you will receive one.

Any offer:

  • is provided by an independent third-party buyer

  • is based on the information you provide

  • is subject to inspection and verification

  • may be withdrawn in the event of discrepancies

Offers are part of a negotiated transaction process and are not final until the transaction is completed between the parties.

6. Inspection and Condition

All transactions are subject to inspection of the watch by the buyer.

If the watch differs from the description provided, including but not limited to condition, authenticity, or completeness, the buyer may reject the transaction

Council is not responsible for any adjustment, rejection, or dispute arising from inspection.

7. Acceptance and Completion of Transactions

If you accept an offer, you agree to proceed in good faith to complete the transaction and to provide any additional information reasonably requested.

Transactions may require additional steps, including identity verification, documentation, or coordination of delivery.

Failure to complete required steps may result in cancellation of the transaction.

Council does not guarantee that any transaction will be successfully completed.

8. Payment

All payments are made directly between the buyer and seller.

Council does not process or hold funds. Council may assist in coordinating payment and following up with buyers to support timely completion.

However, Council does not control and does not guarantee payment, and is not responsible for payment delays, non-payment, or payment disputes.

9. Shipping and Delivery

All shipping or in-person delivery arrangements are made between the buyer and seller.

Council does not take possession of any item and is not responsible for:

  • loss, theft, or damage in transit

  • shipping delays

  • insurance coverage

Risk of loss transfers solely between the buyer and seller.

10. Authentication and Provenance

When Council facilitates a transaction in which a client sells a watch to a third-party buyer or dealer, the buyer or dealer is solely responsible for inspection, authentication, and evaluation of the watch.

Council does not independently verify or authenticate any item and makes no representations or warranties regarding authenticity, provenance, condition, or legality.

When Council assists a client in sourcing or purchasing a watch, Council may coordinate or facilitate third-party authentication, inspection, or evaluation services. Any such services are provided by independent third parties.

All items are transacted “as is” between the parties, and all parties are responsible for conducting their own due diligence.

11. Counterfeit, Stolen, or Misrepresented Items

By submitting a watch for evaluation or sale, you represent and warrant that:

  • you are the lawful owner of the watch

  • the watch is authentic and not counterfeit

  • the watch is not stolen and is not subject to any legal claims

If a watch is determined by a buyer or third party to be counterfeit, stolen, or materially misrepresented:

  • the transaction may be canceled at any time

  • the watch may be reported to law enforcement or appropriate authorities if required

  • the watch may be withheld, returned, or handled in accordance with applicable law

Council is not responsible for any losses, claims, or consequences arising from counterfeit, stolen, or misrepresented items.

You agree to bear all costs associated with such situations, including shipping, insurance, and any related expenses.

12. Third-Party Buyers

Council works with a curated network of third-party buyers that have been independently verified by Council.

Council does not:

  • control or supervise buyers

  • guarantee buyer performance

  • guarantee that any offer will be honored

13. Transaction Risk

Council operates a curated network of buyers and facilitates a structured process designed to support successful transactions.

Council works to promote timely execution, including coordinating communication and following up with buyers as needed.

However, all transactions are ultimately completed between independent parties, and outcomes may vary depending on the specific circumstances of each transaction.

Council does not guarantee that any transaction will be completed.

14. Limitation of Liability

To the maximum extent permitted by law, Council shall not be liable for any damages arising out of or related to:

  • any transaction between users and third parties

  • withdrawn offers

  • payment issues

  • shipping issues

  • fraud or misrepresentation

If liability is found, Council’s total liability shall not exceed the fees paid to Council for the relevant transaction.

15. Indemnification

You agree to indemnify and hold harmless Council and its affiliates from any claims arising from:

  • your use of the services

  • your transactions with third parties

  • any inaccuracy or misrepresentation in your submissions

16. Use of the Site

You agree:

  • not to misuse the Site

  • not to submit false or misleading information

  • not to use automated systems to access the Site

  • to use the Site only if you are 18 years or older

17. Privacy

By providing information, you acknowledge and agree to our Privacy Policy and consent to the sharing of relevant information with third-party buyers and service providers for the purpose of facilitating transactions.

18. Changes to Terms

We may update these Terms at any time. Continued use of the Site constitutes acceptance of any changes.
